JA Solar Shines

Reuters/Washington Post: China’s JA Solar soars in U.S. market debut . Stock of China’s JA Solar Holdings Co. Ltd., a maker of solar cells, rose as much as 30 percent in its U.S. market debut on Wednesday, boosted by a sunny outlook for alternative energy, analysts said.

After weeks of anticipation, packed road shows and massive demand, Fortress Investment Group LLC on Thursday raised $634 million with an initial public offering, the first such move by a diversified private equity and hedge fund in the United States.

Salary Negotiation 101

Reuters: Salary.com sets IPO at 5 mln shares, $8-$10 each. Salary.com, which provides on-demand compensation management products, set on Friday its planned initial public offering at 5 million shares for an estimated price of $8 to $10 each.

When I saw the above article, I headed straight to SEC EDGAR to take a peak at Salary.com’s material contracts. I wish they had more employment agreements on file, but I could only find the employment offer letter between Salary.com Inc. and Kenneth S. Goldman. Naturally, the question that follows is how does his compensation compare with Salary.com’s salary range? From the offer letter, we can see that Kenneth Goldman was offered a position as the Senior Vice President and Chief Financial Officer for Salary.com, Inc. In terms of compensation, here’s the relevant paragraph from the offer letter:

Your overall annual total cash compensation package for expected performance should total $259,000.00 per year. This will consist of a base salary of $185,000.00 and an annual variable incentive component targeted of forty percent (40%), as part of the senior management bonus pool; based on your individual and team performance, as well as the company’s satisfactory performance against goals and objectives.

Next, I hopped onto the Salary.com website and looked up the salary range for CFOs in Needham, MA, where Salary.com is located.

Uh, his base salary is in the bottom 10th percentile. I think he needs to go back in and ask for a raise based on the salary data he found on some job salaries website. 🙂

Wrinkle Treatment Stock Sags

Reuters: Thermage IPO raises $42 mln, below range. Thermage Inc., a wrinkle treatment company, raised $42 million with an initial public offering on Thursday that priced below a forecast range, according to an underwriter.

I’ve added Thermage Inc. contracts to the website. Here’s an interesting Severance Agreement between Thermage and Keith Mullowney. So, the severange agreement has a confidentiality clause:

The Parties acknowledge that Employee’s agreement to keep the terms and conditions of this Agreement confidential was a material factor on which all parties relied in entering into this Agreement. Employee agrees to take every precaution to disclose Settlement Information only to those attorneys, accountants, governmental entities, and family members who have a reasonable need to know of such Settlement Information. The Parties agree that an enforcement action shall be arbitrated pursuant to this Agreement and that, if Company proves that Employee breached this Confidentiality provision, it shall be entitled to an award of its costs spent enforcing this provision, including all reasonable attorneys’ fees associated with the enforcement action, without regard to whether the Company can establish actual damages from the breach by Employee.

So, after all that wasted ink, the company discloses the settlement agreement. Huh?

Shutterfly Shoots for 73 Million

Red Herring: Shutterfly Expects $73M IPO. Shutterfly set the terms of its IPO Thursday in an amended filing with the U.S. Securities and Exchange Commission, predicting it will raise net proceeds of $73 million by offering 5.8 million shares priced at approximately $13 to $15.

CommVault IPO Coming Soon

Reuters: CommVault sets IPO at 11.1 mln shrs, $12.50-$14.50. CommVault Systems Inc., which designs software that backs up, protects and recovers data, on Wednesday set its planned initial public offering at 11.11 million shares for an estimated price of $12.50 to $14.50 per share.

Motley Fool: Stocking Up on J. Crew. J. Crew is headed up by Millard (“Mickey”) Drexler, well known for his fashion savvy and his stint as head honcho over at Gap. Also credited with Gap’s flameout years ago, he was head of that retailer when it overexpanded, took on a ton of debt, and experienced lagging sales and profits.

Go Daddy’s rumored IPO took a step towards reality as Go Daddy filed its initial public offering. Actually, the more interesting aspect about Go Daddy is their trend history on Google Trends. Looks to me like the two spikes in search volume in the first quarter of 2005 and 2006 coincide with their Superbowl ads. Now, if you already know the company is called Go Daddy, why are you searching for go daddy in Google instead of just going directly to www.godaddy.com?

Anyways, you can now find Go Daddy contracts on the site, as well as Tucows contracts, Network Solutions contracts and Verisign contracts.
