Anheuser-Busch v. Yahoo

DealBook: A Tale of Two Uninvited Bids. Yahoo is one of the best-known Internet properties, and Anheuser-Busch is an icon of the beer business. Both companies were the targets of unsolicited takeover bids. In each case, there was an attempt to remove the target company’s board.”

So, Anheuser-Busch merges with InBev while Yahoo settles with Carl Icahn.

Busch Surrenders to Old Europe

Anheuser-Busch sold out to InBev for $70 per share in cash, or roughly €44. In other news, the Euro hit an all-time high against the U.S. dollar. I’ve added Anheuser-Busch Companies Inc. contracts to the site.

A Match Made in Heaven (or Not)

DealBook: Huntsman Gets Personal in Apollo Lawsuit.In an expected move, Huntsman on Monday sued its now-reluctant acquirer’s parent, Apollo Management, and two of the private equity firm’s founders, accusing them of tortiously interfering in the $10.6 billion merger of the two chemical makers.

Added Huntsman Corp. contracts to the site where you can find the Huntsman-Basell Merger Agreement as well as the Huntsman-Hexion Merger Agreement.

Amazon Buys Audible

Sure, old news. I just updated the Audible Inc. contracts page, presumably for the last time. The latest additions include the Merger Agreement Between Amazon.com and Audible Inc., as well as other agreements between Audible and Apple Computer. I found the Digital Download Sales Agreement between Apple and Audible to be particularly humorous. Exhibit D to that Agreement is a screen shot showing Audible products in the iTunes store. Presumably someone at Apple used Microsoft Photo Editor on a PC to add “Apple Confidential” and “Do Not Distribute” to that screen shot. They don’t have Macs with Photoshop at Apple?

Really. Martha Stewart Living Omnimedia Inc. purchased Emeril Lagasse’s business of licensing, marketing, distributing and selling products and services related to Lagasse and his persona, except for his restaurant business. I’ve just added the Asset Purchase Agreement between Martha and Emeril.

Microsoft Battles Back

DealBook: Microsoft: Tight-Fisted No More? Microsoft had about $28 billion in cash and short-term investment on March 31, an amount the CIA World Factbook tells us is more than twice the gross domestic product of Iceland. But despite its riches, the software giant has shied away from large acquisitions, especially in the past five years or so.

Well, Microsoft could afford to sit on the sidelines for all those years because the only credible threat they faced was all the antitrust litigation. But now, with Google dominating the search industry and offering free online applications, the world has changed. Oh, Google’s purchase of DoubleClick may have played a role in that decision too. You think?

Reader’s Digest Named Best Buy

New York Times: For One Critic, a Magazine Trumps MySpace as a Smart Buy. Despite all the coverage of MySpace as the most astute media buy in recent history, Ad Age’s Simon Dumenco begs to differ. His idea of a wise acquisition: the $2.4 billion buyout two weeks ago of Reader’s Digest Association, publisher of the long-lived magazine of the same name.
